1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by CCBONLINE Inc. ("Company", "we", "us", or "our"), including our website, consulting services, AI website development, digital marketing, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

1A. Related Legal Documents

These Terms of Service should be read in conjunction with our other legal documents:

  • Privacy Policy: Explains how we collect, use, store, and protect your personal information in compliance with PIPEDA (Personal Information Protection and Electronic Documents Act)
  • AI Transparency Notice: Details our use of artificial intelligence technologies, including third-party AI platforms, data processing, and user controls

Important: When using our AI-powered services (website development, content generation, etc.), both these Terms of Service and our AI Transparency Notice apply. Your data may be processed by third-party AI platforms as detailed in our Privacy Policy and AI Transparency Notice.

2. Services Description

CCBONLINE Inc. provides the following services:

  • AI-Powered Website Development: Custom website design and development using artificial intelligence technologies
  • Digital Marketing: SEO, social media marketing, content strategy, and digital advertising
  • Cross-Border Consulting: Market entry consulting for Canadian and North American markets
  • Brand Localization: Adaptation of brands and marketing materials for local markets

2A. AI Services and Third-Party Processing

2A.1 Use of AI Technologies

Our AI-powered services utilize advanced artificial intelligence technologies to provide enhanced functionality, including but not limited to:

  • Content generation and copywriting assistance
  • Website design and development support
  • Code generation and optimization
  • Image and visual asset creation
  • Translation and localization

2A.2 Third-Party AI Platforms

We utilize third-party AI platforms including (but not limited to) OpenAI, Anthropic Claude, Google Gemini, and others as detailed in our AI Transparency Notice. By using our AI-powered services, you acknowledge and agree that:

  • Your provided information may be processed by these third-party platforms
  • Processing occurs in accordance with each platform's terms and privacy policies
  • We implement technical and organizational measures to protect your data
  • You retain ownership of your input and we retain rights to AI-generated deliverables as specified in project agreements

2A.3 Data Minimization and Anonymization

Where applicable, we implement data minimization and anonymization techniques when using AI services to protect your confidential information. However, you should not provide highly sensitive personal information (e.g., financial data, health records, identification numbers) unless specifically requested for a defined purpose.

2A.4 AI Limitations and Human Oversight

While AI technologies enhance our services, you acknowledge that:

  • AI-generated content undergoes professional human review and editing
  • AI outputs may require fact-checking and verification
  • We maintain responsibility for final deliverables regardless of AI involvement
  • AI technologies have limitations and may not always produce perfect results

3. User Eligibility

To use our Services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal authority to enter into binding contracts
  • Represent a legitimate business entity for B2B services
  • Provide accurate and complete information

4. User Accounts and Registration

4.1 Account Creation

Some Services may require you to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account

4.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

5. Service Agreements and Contracts

5.1 Consulting and Development Services

For professional services (consulting, website development, etc.), a separate Service Agreement or Statement of Work (SOW) will be executed, which includes:

  • Scope of work and deliverables
  • Project timeline and milestones
  • Pricing and payment terms
  • Intellectual property rights
  • Warranties and limitations

5.2 Precedence

In the event of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail with respect to that specific service.

6. Fees and Payment

6.1 Service Fees

Fees for Services are specified in your Service Agreement or as quoted. All fees are in Canadian Dollars (CAD) unless otherwise specified.

6.2 Payment Terms

  • Invoicing: Invoices are issued according to the payment schedule in your Service Agreement
  • Payment Due: Payment is due within 30 days of invoice date unless otherwise agreed
  • Late Payment: Late payments may incur interest at 1.5% per month (18% annually) or the maximum rate permitted by law
  • Currency: Payments must be in the currency specified in your invoice

6.3 Taxes

All fees are exclusive of applicable taxes (GST/HST, PST, etc.). You are responsible for paying all applicable taxes.

6.4 Refund Policy

Refunds are subject to the terms of your Service Agreement. Generally:

  • Consulting services: Non-refundable once delivered
  • Development projects: Refunds based on work completed
  • Subscription services: Pro-rated refunds at our discretion

7. Intellectual Property Rights

7.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of CCBONLINE Inc. or our licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

7.2 Client Materials

You retain all rights to materials you provide to us ("Client Materials"). By providing Client Materials, you grant us a limited, non-exclusive license to use them solely for providing Services to you.

7.3 Deliverables

Upon full payment, you will own the final deliverables specified in your Service Agreement. We retain rights to:

  • Preliminary designs, drafts, and concepts
  • Our proprietary tools, methodologies, and templates
  • The right to use work as portfolio examples (with your consent)

8. User Conduct and Prohibited Activities

You agree not to:

  • Use our Services for any illegal or unauthorized purpose
  • Violate any Canadian or international laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt our Services or servers
  • Impersonate any person or entity
  • Collect or harvest information about other users

9. Confidentiality

9.1 Definition

"Confidential Information" includes business information, technical data, trade secrets, and know-how disclosed by either party.

9.2 Obligations

Both parties agree to:

  • Maintain confidentiality of Confidential Information
  • Use Confidential Information only for the purposes of providing/receiving Services
  • Protect Confidential Information with the same care used for their own confidential information
  • Not disclose Confidential Information to third parties without consent

9.3 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no breach of these Terms
  • Was rightfully in possession before disclosure
  • Is independently developed without use of Confidential Information
  • Must be disclosed by law or court order

10. Warranties and Disclaimers

10.1 Our Warranties

We warrant that:

  • Services will be performed with professional care and skill
  • We have the necessary rights and permissions to provide Services
  • Services will substantially conform to specifications in the Service Agreement

10.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • Services will be uninterrupted, error-free, or completely secure
  • Results will meet your specific requirements or expectations
  • Any errors or defects will be corrected

11. Limitation of Liability

11.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CCBONLINE INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITY

11.2 Cap on Liability

Our total aggregate liability for all claims arising out of or relating to these Terms or Services shall not exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the claim, or CAD $1,000, whichever is greater.

11.3 Exceptions

The above limitations do not apply to:

  • Liability for death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited by applicable law

12. Indemnification

You agree to indemnify, defend, and hold harmless CCBONLINE Inc. and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Client Materials you provide to us

13. Term and Termination

13.1 Term

These Terms remain in effect while you use our Services or have an active Service Agreement.

13.2 Termination by You

You may terminate your account or Service Agreement as specified in your agreement, typically with 30 days written notice.

13.3 Termination by Us

We may terminate or suspend your access immediately, without prior notice, for:

  • Breach of these Terms
  • Non-payment
  • Fraudulent, abusive, or illegal activity
  • Request by law enforcement or government agency

13.4 Effect of Termination

Upon termination:

  • Your right to use Services immediately ceases
  • You remain liable for all fees and charges incurred
  • Provisions that by their nature should survive will continue (e.g., confidentiality, indemnification, limitation of liability)

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Jurisdiction

The courts of Ontario, Canada shall have exclusive jurisdiction over any disputes arising from these Terms.

14.3 Negotiation

In the event of a dispute, both parties agree to first attempt to resolve it through good faith negotiation.

14.4 Arbitration (Optional)

If negotiation fails, disputes may be resolved through binding arbitration under the rules of the ADR Institute of Canada, at the option of either party.

15. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, government actions, internet failures, or pandemics.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms on our website
  • Updating the "Last Updated" date
  • Sending email notification for significant changes

Your continued use of Services after changes constitute acceptance of the revised Terms.

17. General Provisions

17.1 Entire Agreement

These Terms, together with any Service Agreement, constitute the entire agreement between you and CCBONLINE Inc. regarding Services.

17.2 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

17.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

17.6 Language

These Terms are provided in English and Chinese. In case of discrepancy, the English version shall prevail.

8. 用户行为和禁止活动

您同意不:

  • 试图未经授权访问我们的系统或网络
  • 干扰或破坏我们的服务或服务器

9. 保密

11. 责任限制

  • 间接、附带、特殊、后果性或惩罚性损害
  • 利润、收入、数据或使用的损失
  • 业务中断或商业机会损失

11.2 责任上限

对于因这些条款或服务引起或相关的所有索赔,我们的总累计责任不得超过您在引起索赔的事件之前12个月内向我们支付的总金额,或1,000加元,以较高者为准。

12. 赔偿

13. 期限和终止

当您使用我们的服务或拥有有效的服务协议时,这些条款保持有效。

您可以按照协议中的规定终止您的账户或服务协议,通常需要提前30天书面通知。

13.3 我们的终止
